Service Levels and Engagement Models

Gondola Enterprises, LLC offers services through various engagement models to accommodate different client needs:

Project-Based Engagement

Services are scoped and delivered within a defined timeframe and budget. Deliverables are specified in a Statement of Work (SOW) signed by both parties. Changes to scope may result in adjustments to timeline and fees.

Retainer-Based Engagement

Ongoing services provided on a monthly retainer basis. The scope of retainer services is defined in the retainer agreement. Additional services outside the agreed scope may be billed at our standard hourly rates.

Consulting Engagement

Advisory services provided on an as-needed basis. Consulting engagements are typically billed on an hourly or daily rate basis, with estimates provided before work commences. Deliverables may include reports, recommendations, or implementation guidance.

Fee Structure and Payment Terms

Our fee structure depends on the nature and scope of services provided. Unless otherwise specified in a separate service agreement, the following payment terms apply:

We reserve the right to suspend services if an account becomes more than thirty (30) days past due. Suspension of services does not relieve the client of their obligation to pay outstanding invoices.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential information includes but is not limited to business plans, technical data, product roadmaps, customer lists, financial information, trade secrets, and any information marked as confidential or that a reasonable person would understand to be confidential.

This confidentiality obligation survives the termination of any service agreement and continues for a period of three (3) years from the date of disclosure, or indefinitely for trade secrets. Neither party shall disclose confidential information to third parties without the prior written consent of the disclosing party, except as required by law or legal process.

Warranties and Service Guarantees

Gondola Enterprises, LLC warrants that our services will be performed in a professional and workmanlike manner in accordance with industry standards. If a client believes that any service does not meet this standard, they must notify us in writing within fifteen (15) days of delivery. We will, at our option, either re-perform the non-conforming service or provide a credit for the fees paid for that portion of the service.

This warranty is exclusive and in lieu of all other warranties, whether express, implied, statutory, or otherwise. We specifically disclaim any implied warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by applicable law.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof -- including the determination of the scope or applicability of this agreement to arbitrate -- shall be resolved through the following process:

  1. Negotiation: The parties shall first attempt to resolve any dispute through informal negotiation for a period of thirty (30) days
  2. Mediation: If negotiation fails, the parties agree to mediate the dispute before a mutually agreed-upon mediator in Utah County, Utah
  3. Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules

The arbitration shall take place in Utah County, Utah, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a party has acted in bad faith or has asserted a frivolous claim or defense.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, fire, flood, earthquake, pandemic, governmental action, labor disputes, supply chain disruptions, internet service provider failures, or acts of third parties. The affected party shall provide prompt notice of the force majeure event and shall use reasonable efforts to mitigate its effects and resume performance as soon as practicable.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, provided that the assignee agrees to be bound by these Terms. Any attempted assignment in violation of this section shall be null and void.

Waiver and Severability

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Entire Agreement

These Terms of Service, together with any separate service agreements, statements of work, or other documents expressly incorporated by reference, constitute the entire agreement between you and Gondola Enterprises, LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
